3.1 Requirements for the Brokerage Firm

3.1.1投标人须为依法设立并有效存续的法人或合伙制机构，具有在美国纽约州纽约市从事房地产经纪、中介及咨询服务的合法资格。须提供机构合法存续证明文件（如公司注册证书、有效期内的经营状态证明等）。

3.1.1 The bidder shall be a legally established and validly existing corporation or partnership with the legal qualification to engage in real estate brokerage, intermediary and advisory services in New York City, New York State, USA. Valid evidence of the firm&#(略);s legal existence and good standing shall be provided (such as a certificate of incorporation/registration, a valid certificate of good standing, etc.).

3.1.2投标人须在美国纽约市设有常设办公室（permanent office）。须提供纽约市常设办公室的地址证明（如租赁合同摘要页、公用事业账单或其他可验证的地址证明文件），并附办公场所实景照片。

3.1.2 The bidder shall maintain a permanent office in New York City, USA. Proof of address for the permanent office in New York City shall be provided (such as the summary page of a lease agreement, a utility bill, or other verifiable proof of address), together with on-site photographs of the office premises.

3.1.3 Since January 1, (略) (based on the date of Closing), the bidder shall have undertaken and completed at least threecommercial real estate sale/disposition projects in New York City, USA, each with a transaction value of not less than USD (略) million. Supporting materials for the track record shall be provided. Each project shall include at least the project name, owner name, property address, transaction completion date, transaction value, and scope of services. The track record shall be supported by verifiable materials such as the summary page of the brokerage/advisory contract, a Closing Statement summary, or a client reference letter. If the above materials cannot be provided due to confidentiality agreements (NDAs), a Sworn Statement signed by the bidder&#(略);s authorized representative may be submitted, specifying key project information (including the project name, owner name, property address, transaction completion date, transaction value, scope of services, etc.), undertaking that the track record is authentic, and consenting to verification by the Tenderer through compliant channels.

3.2.1投标人拟派项目团队中，至少有1人持有纽约州注册通用估价师资质（New York State Certified General Appraiser），至少有1人持有纽约州房地产经纪人执照（New York State Real Estate Broker License）。上述两项资质可由同一人持有。须提供纽约州注册通用估价师资质及纽约州房地产经纪人执照的复印件或纽约州官方在线查询系统的新查询记录截图。

3.2.1 Among the project team members proposed by the bidder, at least one person shall hold the New York State Certified General Appraiser qualification, and at least one person shall hold a New York State Real Estate Broker License. The two qualifications above may be held by the same person. Copies of the New York State Certified General Appraiser qualification and the New York State Real Estate Broker License, or screenshots of the latest search results from the official New York State online registry system, shall be provided.

Supporting materials for the track record shall be provided, subject to the same requirements as those for the institutional track record. The Project Lead&#(略);s track record may overlap with the projects included in the institutional track record (Item 3.1.3).

1）本次招标不接受联合体投标。本项目选聘的是独家代理经纪机构，须由单一机构承担全部服务责任并签署独家代理协议。

1) Consortium bids will not be accepted for this tender. This project is for the selection of an exclusive brokerage firm; a single firm shall assume all service responsibilities and execute the exclusive agency agreement.
